Terms & Conditions

These Terms & Conditions ("Terms") are a legal agreement between you and Arkives.io ("Arkives", "we", "us", or "our") governing your access to and use of the ArkiveSearch application and any related services (together, the "Service").

By creating an account, checking the consent box during registration, starting a subscription, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

You may use the Service only if you are at least 18 years old and are not barred from using the Service under applicable law. You agree that the registration information you provide is accurate and current, and that you are responsible for keeping your password and account secure. You are responsible for all activity that occurs under your account.

In connection with the Service, you agree that you will:

• Import only message content you have the legal right to import — your own conversations, or content you are lawfully permitted to retain under the laws that apply to you.
• Comply with all laws that apply to you, including laws governing the recording, retention, and processing of communications and personal data, and the consent of the people whose messages you archive where such consent is required.
• Use the Service only for lawful purposes.

You agree that you will not:

• Use the Service to harass, stalk, intimidate, threaten, defame, or harm any person.
• Import, store, or distribute content that is unlawful, fraudulent, or infringes the rights of any third party.
• Attempt to access, view, or modify another user's data or any part of the Service you are not authorized to access.
• Interfere with or disrupt the Service, circumvent its security measures, scrape or resell its content, or reverse engineer it except as permitted by applicable law.
• Misrepresent your identity or affiliation, or use the Service to impersonate any person or entity.

"Content" means the conversations, messages, attachments, notes, collections, and any other material you submit to the Service. You retain all ownership of your Content.

You grant us and our service providers a limited, non-exclusive, worldwide license to host, store, reproduce, and process your Content — including AI attachment extraction when you request it — solely as needed to operate the Service for you. The license ends when you delete the Content or your account.

You are solely responsible for the legality, accuracy, and appropriateness of your Content, and for having the rights and permissions needed to import it.

Some features of the Service require a paid subscription (“Arkives Premium”). By starting a subscription, you agree to these billing terms:

• Subscriptions are billed at $9.99 USD per month through Base44 Payments, our payment processor. Your card details are handled by the processor and never seen or stored by us.
• Subscriptions renew automatically each month until canceled. You may cancel at any time from your Account page; if you cancel, auto-renewal stops and you keep access through the end of your paid period.
• We do not provide refunds for partial billing periods, except where required by applicable law.
• You are responsible for all applicable taxes. If we change the subscription price, we will notify you before your next renewal; you may cancel before the change takes effect.
• By starting a subscription, you confirm you are authorized to use the payment method provided.

The Service generates PDF reports from the Content and search results you select. Reports reproduce your Content as imported, without verification or alteration by us.

Reports are provided for informational and record-keeping purposes only. They do not constitute legal, professional, or evidentiary advice, and we do not guarantee that a report will satisfy any legal or evidentiary requirement. You are solely responsible for verifying the accuracy and completeness of any report and for how you use or distribute it.

The Service, including its software, design, features, and the "Arkives" and "ArkiveSearch" names and marks, is owned by Arkives.io and its licensors, and is protected by intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, resell, or create derivative works from the Service, except to the extent expressly permitted by these Terms or required by applicable law.

The Service is operated with third-party providers, including our hosting platform, Base44 Payments, our email delivery provider, and our AI processing providers. These providers are governed by their own terms and privacy policies, and we are not responsible for their acts or omissions.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI attachment extraction will be accurate. AI-extracted details are best-effort summaries and may contain errors — verify them before relying on them. We are not responsible for data loss arising from your imports, your device, or third-party services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) $100, OR (B) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

Some jurisdictions do not allow certain limitations or exclusions; in that case, the above limits apply to the maximum extent permitted, and these Terms will be interpreted to give effect to the parties' intent.

You agree to indemnify, defend, and hold harmless Arkives.io, its operators, affiliates, and service providers from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Content; (b) your breach of these Terms; or (c) your violation of any law or third-party right in connection with your use of the Service.

You may stop using and delete your account at any time, as described in our Privacy Policy.

We may suspend or terminate your access to the Service if you breach these Terms, create legal risk or liability for us, or misuse the Service. On termination, the sections that by their nature should survive — including Sections 4 (Your Content), 6 (Reports), 9–11, and this Section 12 — survive.

We may update these Terms from time to time. If we make a material change, we will notify you through the app or by email before the new effective date. Your continued use of the Service after the effective date means you accept the updated Terms.

These Terms are governed by the laws of the United States and of the state in which the Arkives.io operating entity is organized, without regard to conflict-of-law principles [final jurisdiction to be confirmed by counsel]. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts of that jurisdiction, and you consent to their personal jurisdiction.
